UMAMI ACCEPTABLE USE POLICY

This Acceptable Use Policy ("Policy") governs your use of Umami's Services and is incorporated into your Master Services Agreement with Fieldbook Studio, LLC dba Umami ("Umami"). By accessing or using the Services, you agree to comply with this Policy.


1. PERMITTED USES

You may use the Services only for lawful purposes and in accordance with your Master Services Agreement. Permitted uses include:

- Accessing consumer market intelligence and trend analysis for internal business decision-making
- Generating reports and insights to inform product development strategies
- Analyzing market opportunities within your licensed categories
- Sharing insights internally within your organization with authorized users
- Using insights to guide strategic planning and innovation efforts


2. PROHIBITED ACTIVITIES

You shall NOT:


2.1 Unauthorized Access or Use

- Access or use the Services beyond the scope authorized in your Master Services Agreement
- Share login credentials or allow unauthorized users to access your account
- Access the Services through any means other than the interface provided by Umami
- Attempt to circumvent any access restrictions, usage limitations, or security measures
- Use the Services on behalf of or to benefit any third party without prior written consent


2.2 Intellectual Property Violations

- Copy, reproduce, duplicate, or create derivative works from the Services or any content therein
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying technology of the Services
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Use Umami's trademarks, logos, or branding without express written permission Umami Acceptable Use Policy
- Create products, services, or tools that compete with or replicate the functionality of the Services


2.3 Data Misuse and Extraction

- Use any automated tools, robots, spiders, scrapers, or data mining tools to access or extract data from the Services
- Systematically download, archive, or store substantial portions of the Services' content
- Create databases or derivative works using data extracted from the Services
- Sell, rent, lease, distribute, or sublicense access to the Services or data obtained therefrom
- Use the Services to benchmark against competing products without Umami's written consent
- Attempt to extract, reconstruct, scrape, or re-aggregate the underlying public review content, source materials, or other third-party data analyzed by the Services (collectively, “Source Data”) from any Umami Deliverable, dashboard, report, or output of the Services
- Republish, redistribute, or commercially exploit any Source Data appearing in or referenced by an Umami Deliverable, including any review-identifying information or verbatim review text that may appear in illustrative examples


2.4 System Interference

- Interfere with or disrupt the integrity, security, or performance of the Services
- Introduce viruses, worms, malware, or other malicious code
- Attempt to gain unauthorized access to Umami's systems, networks, or data
- Probe, scan, or test the vulnerability of any system or network
- Overload, flood, or spam the Services or related systems


2.5 Unlawful or Harmful Activities

- Use the Services for any illegal, fraudulent, or unauthorized purpose
- Violate any applicable local, state, national, or international law or regulation
- Infringe on the intellectual property rights, privacy rights, or other rights of third parties
- Transmit or upload content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Engage in any activity that could harm minors


2.6 Competitive Intelligence Misuse

- Access the Services for the purpose of building a similar or competing product
- Monitor the Services for availability, performance, or functionality for competitive purposes
- Use insights gained from the Services to directly compete with Umami
- Share detailed information about the Services' functionality, methodologies, or algorithms with Umami's competitors


2.7 Data Integrity Violations
- Submit false, misleading, or inaccurate information to the Services
- Manipulate or attempt to manipulate the Services' algorithms or outputs
- Intentionally provide data known to violate third-party rights


3. ACCOUNT SECURITY

You are responsible for:

- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying Umami immediately of any unauthorized access or security breach
- Implementing reasonable security measures to protect access to the Services
- Ensuring that authorized users comply with this Policy


4. MONITORING AND ENFORCEMENT


4.1 Monitoring Rights

Umami reserves the right to:

- Monitor use of the Services to ensure compliance with this Policy
- Investigate suspected violations
- Access and review your account and usage patterns
- Cooperate with law enforcement authorities


4.2 Enforcement Actions

If Umami determines that you have violated this Policy, Umami may, in its sole discretion:

- Issue a warning
- Suspend access to the Services temporarily
- Terminate your account and Master Services Agreement immediately
- Remove or disable access to any content that violates this Policy
- Take legal action, including seeking injunctive relief and damages
- Report violations to law enforcement authorities


4.3 No Obligation to Monitor

Umami has the right, but not the obligation, to monitor compliance with this Policy. Umami's failure to enforce any provision of this Policy does not constitute a waiver of that provision or any other provision.


5. REPORTING VIOLATIONS

If you become aware of any violation of this Policy, please report it immediately.


6. INTELLECTUAL PROPERTY PROTECTION

The Services, including all software, algorithms, methodologies, reports, visualizations, and related documentation, are protected by:

- Copyright laws
- Trade secret laws
- Trademark rights
- Other intellectual property laws

Umami will vigorously protect its intellectual property rights.

7. THIRD-PARTY SERVICES AND INTEGRATIONS

If you integrate third-party services with the Services:
- You are responsible for compliance with third-party terms of service
- You must ensure such integrations do not violate this Policy
- Umami is not responsible for the availability, security, or functionality of third-party services


8. CHANGES TO THIS POLICY

Updates and modifications to this Policy may be made by either:

- Posting an updated version on our website
- Sending notice to your registered email address
- Updating the "Last Updated" date at the top of this Policy

Your continued use of the Services after such modifications constitutes acceptance of the updated Policy. If you do not agree with any changes, you must immediately cease using the Services and may terminate your Master Services Agreement in accordance with its terms. Material changes to
this Policy that materially diminish your rights or materially expand your obligations are subject to the notice and termination-right provisions of the Master Services Agreement.


9. EXPORT CONTROL

You agree that the Services and related technology are subject to U.S. export control laws and regulations. You shall not:

- Export or re-export the Services to any prohibited country, entity, or person
- Use the Services in violation of any U.S. export laws or regulations
- Permit access to the Services from any country subject to U.S. trade embargoes


10. ACKNOWLEDGMENT

By using the Services, you acknowledge that:

- You have read and understood this Acceptable Use Policy
- You agree to comply with all provisions of this Policy
- Violation of this Policy may result in immediate termination of your access and other legal consequences
- Umami may update this Policy from time to time, and it is your responsibility to review it periodically



IMPORTANT: This Policy is designed to protect Umami's intellectual property, ensure the security and integrity of the Services, and maintain compliance with applicable laws. Violations will be taken seriously and may result in legal action.
